Sole Proprietorships (Part 3) – Verifying the Availability of a Business Name 

This article is the 3rd editorial of a series that Amanda and I will compose in an effort to identify, explain, and/or answer concerns regarding Sole Proprietorships.

In this discussion, we will explore and raise some talking point relevant to how an individual verifies the Availability of a Business Name.

The purpose and goal of this editorial is to discuss and explain:

  • Searching Business Names Using the Secretary of State Websites;
  • State Business Identification

Searching Business Names Using the Secretary of State

 

  • Search the name of your proposed business and/or corporate entity on the Secretary of State’s website in your home state;
  • The following page consists of links to all Secretaries of State; Department of Revenues; and Business License Requirements for all 50 states including Washington D.C.  – this link has been provided complements of Northwest Registered Agency, LLC. –  http://www.northwestregisteredagent.com/secretary-of-state.html

State Business Identification 

Another avenue to explore when researching a business in your state is to verify with the businesses Account/IBT number; FEIN; or License number.

  • Usually, one would ask for this information.  This means of searching is more exact; however, since many individuals do not have another businesses’ information as stated above, this method is not used as often.

Using my business as an example, an individual in Illinois could research the Illinois Department of Revenue at the below listed link:

https://www.revenue.state.il.us/app/bgii/servlet/BGIInquiry?_CWSKEY=3470973151339861418418&_CWSREQ=603376

The Illinois Department of Revenue will ask for one of three identification parameters:

  • Enter an Account or IBT Number
  • Enter a FEIN
  • Enter a License Number

In my case, my Illinois FEIN number is 27-4609438.  Once entered into the FEIN field, the follow result is provided:

FEIN: 27-4609438

Legal business name: JOSEPH SOLTIS

Doing business as: SOLTIS CONSULTING

This business is NOT registered as a retailer or reseller for sales tax with the Illinois Department of Revenue.

This business is currently active for the following taxes: 

WITHHOLDING INCOME TAX

Since the nature of my business does not involve selling retail goods, Illinois has not registered my business as a retailer and/or reseller.  Naturally, my business is subject to the Illinois Withholding Income Tax.
